These terms apply to your access to the UpiZone software platform and website. By creating an account or using the software, you agree to these terms. If you do not agree, do not use the service.
1. The service
UpiZone provides software tools that help merchants create and display UPI QR checkout details and order-specific payment links addressed to a UPI ID configured by that merchant. Features may include checkout presentation, order records, API access and webhooks reflecting a merchant’s recorded decision.
2. What UpiZone does not provide
UpiZone is not a bank, payment gateway, payment aggregator, UPI app or payment system operator. UpiZone does not issue UPI IDs or bank accounts, receive or hold customer funds, initiate a transfer, route funds, settle or remit funds, or independently verify a payment against a bank account. Upi transactions are performed through third-party UPI apps, banks and payment participants, under their own terms.
3. Merchant payment review
You are responsible for checking your own bank or UPI account records to confirm a credit before you mark an order as successful or fulfil a sale. QR creation, a payer’s screenshot, a UTR or other reference, a customer statement, an API response, or an order status by itself is not independent proof of receipt by UpiZone. API and webhook status messages reflect the merchant decision recorded in the platform.
4. Your responsibilities
You are responsible for the accuracy and lawful use of each VPA you configure, your bank’s and UPI provider’s terms, customer-facing descriptions, pricing, fulfilment, taxes, refunds, cancellations, disputes, records, data you submit, and your compliance with laws applicable to your business. You must not use the service for unlawful, deceptive, prohibited or abusive activity, or represent UpiZone as a bank, gateway, aggregator or payment verifier.
5. Account security and acceptable use
Keep your login details, API credentials and webhook secrets confidential. Use the service only for your own authorised business purposes, maintain reasonable security for your integrations, and promptly tell us if you suspect unauthorised access. You must not probe, disrupt, reverse engineer or misuse the platform or use it to infringe another person’s rights.
6. Plans, subscriptions and availability
Current plan features, limits and prices, if any, are shown in the merchant portal and may be updated prospectively. A UpiZone plan is a subscription to software access, not a charge for UpiZone to process or settle a transaction. We may update, suspend or discontinue a feature for maintenance, security, legal or operational reasons. Roadmap items are tentative and are not contractual commitments.
7. Third-party services
The service may interact with or depend on hosting, internet, banks, UPI apps, telecom networks and other third parties. We do not control their services, decisions, availability, terms or records. Your use of those services is subject to your agreements with them.
8. Intellectual property
UpiZone and its licensors retain rights in the platform, software and brand materials. We grant you a limited, revocable, non-exclusive right to use the platform for its intended business purpose while your account is active. You retain rights to materials you submit and grant us permission to process them as needed to operate the service.
9. Suspension and termination
You may stop using the service and close your account through the available account process or by contacting us. We may restrict or suspend access where reasonably necessary for security, suspected misuse, non-payment, service integrity or legal obligations. Where practical, we will provide notice and a path to resolve the issue.
10. Disclaimers and limitation
The platform is provided on an “as available” basis. To the extent permitted by law, we do not warrant uninterrupted access, compatibility with every device or UPI app, or the accuracy of third-party information. Nothing in these terms excludes a right or remedy that cannot lawfully be excluded. To the extent permitted by law, UpiZone is not liable for indirect or consequential loss, or for a transfer, bank action, UPI app action, payer error, merchant decision, or third-party interruption outside our control. These terms do not limit liability where applicable law does not allow that limitation.
11. Changes and governing law
We may update these terms by posting a revised version and date. Continued use after an effective update means you accept the revised terms, subject to applicable law. These terms are governed by the laws of India. Courts with competent jurisdiction in India will hear disputes, subject to any mandatory consumer or other legal rights.
